01Introduction and acceptance of terms
These Terms of Service (“Terms”) govern access to and use of the website, platform, software, products, applications, and services provided by EasyEcom (“EasyEcom,” “we,” “us,” or “our”) (collectively, the “Platform”). By accessing, browsing, registering for, or using the Platform in any manner, you (“you,” “your,” “user,” or “customer”) acknowledge that you have read, understood, and agree to be bound by these Terms, along with any policies, guidelines, or documents incorporated herein by reference.
These Terms constitute a legally binding electronic agreement between you and EasyEcom. By accepting these Terms electronically, including by accessing or using the Platform or clicking to accept, you agree that this forms a valid and enforceable agreement and you waive any requirement for a physical or handwritten signature. This record is generated by a computer system and does not require any physical or digital signature.
EasyEcom provides technology and infrastructure designed to enable omnichannel order management, inventory and warehouse management, multichannel fulfillment, marketplace and webstore integrations, payment reconciliation, automation, analytics, and related e-commerce operations. These Terms establish the rights, responsibilities, and obligations associated with the use of the Platform.
If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and in such case, the terms “you” and “your” shall refer to both you and such entity.
If you do not agree to these Terms, you must not access or use the Platform.
02Eligibility and account responsibilities
You may access and use the Platform only if you are legally capable of entering into a binding agreement under applicable laws. By using the Platform, you represent and warrant that you satisfy all eligibility requirements required under applicable law. The Platform is offered to customers internationally. You are responsible for ensuring that your access to and use of the Platform complies with the laws and regulations applicable in your own jurisdiction.
Certain features, functionalities, or services offered through the Platform may require registration of an account. In such cases, you agree to provide accurate, complete, and up-to-date information during the registration process and to keep such information updated at all times.
You are solely responsible for maintaining the confidentiality, security, and control of your account credentials, including usernames, passwords, authentication methods, access permissions, and any API keys or integration credentials used to connect marketplaces, sales channels, courier services, or other systems. You further agree to be responsible for all activities, actions, and transactions carried out through your account, whether authorized by you or not.
You must promptly notify EasyEcom of any unauthorized access to, use of, or suspected security breach involving your account or credentials. EasyEcom shall not be liable for any loss, damage, or liability arising from unauthorized access resulting from your failure to safeguard account credentials or maintain appropriate account security practices.
If you access or use the Platform on behalf of a business, organization, or other entity, you are responsible for ensuring that all employees, contractors, agents, representatives, and authorized users accessing the Platform through your account comply with these Terms and all applicable laws, regulations, and industry standards.
EasyEcom reserves the right to suspend, restrict, or terminate accounts that contain inaccurate information, violate these Terms, create security risks, or are used in a manner that may harm the Platform, other users, or third parties.
03Scope of services
EasyEcom provides technology, software, and infrastructure designed to support omnichannel order management, inventory and catalog management, warehouse and fulfillment operations, multichannel and marketplace integrations, shipping and logistics coordination, payment reconciliation, automation capabilities, analytics, and related digital commerce functionalities (collectively, the “Services”).
The scope, availability, and functionality of the Services may vary depending on the subscription plan, service configuration, integrations, custom implementations, geographic availability, or any separate commercial agreement entered into between EasyEcom and the customer.
Certain features or functionalities may depend on third-party services, marketplaces, APIs, or integrations. EasyEcom does not guarantee the continued availability or compatibility of such third-party services and shall not be liable for disruptions arising from them.
EasyEcom reserves the right to modify, enhance, suspend, restrict, replace, or discontinue any part of the Platform or Services, including features, functionalities, integrations, or technical specifications, as part of product development, operational requirements, security measures, legal compliance, or business evolution.
While EasyEcom strives to maintain reliable service availability, the Platform may occasionally experience downtime, maintenance interruptions, delays, or technical issues. Unless expressly agreed otherwise in writing, EasyEcom does not guarantee uninterrupted or error-free operation of the Services. Any new features, updates, enhancements, or additional services introduced by EasyEcom shall, unless otherwise specified, be governed by these Terms.
04Acceptable use
Users agree to access and use the Platform solely for lawful business and commercial purposes and in compliance with these Terms, applicable laws, regulations, and third-party rights. Users shall not, directly or indirectly:
- misuse, interfere with, disrupt, damage, or impair the operation, security, stability, or integrity of the Platform or its associated infrastructure;
- attempt to gain unauthorized access to the Platform, systems, networks, accounts, databases, or data;
- upload, transmit, distribute, or deploy malicious code, viruses, malware, harmful content, unlawful material, or any technology intended to disrupt or compromise the Platform;
- use the Platform in a manner that violates applicable laws, regulations, intellectual property rights, privacy rights, or other third-party rights;
- reverse engineer, decompile, copy, scrape, exploit, or attempt to derive source code, underlying algorithms, or proprietary technology from the Platform except where expressly permitted by applicable law; or
- use the Platform for fraudulent, deceptive, abusive, or unlawful activities, including activities that may harm EasyEcom, its users, partners, or third parties.
EasyEcom reserves the right to monitor compliance with these Terms, investigate suspected misuse or unauthorized activities, and take appropriate action, including restricting, suspending, or terminating access to the Platform, without prejudice to any other rights or remedies available under applicable law.
05User content and customer data
Customers retain all rights, title, and ownership in and to the content, data, order and transaction records, product and catalog information, inventory data, communications, and other materials submitted to, uploaded to, generated through, or processed via the Platform (“Customer Content”).
By using the Platform, customers grant EasyEcom a limited, non-exclusive, worldwide, royalty-free right and license to host, store, process, transmit, analyze, reproduce, modify solely for technical purposes, and display Customer Content only to the extent necessary to operate, maintain, secure, improve, support, and provide the Platform and related services.
Customers are solely responsible for ensuring that:
- they possess all necessary rights, licenses, consents, and permissions required to use, upload, process, and share Customer Content through the Platform, including any end-customer personal data processed for order fulfillment;
- their use of the Platform and Customer Content complies with all applicable laws, regulations, contractual obligations, and third-party rights; and
- Customer Content does not infringe, misappropriate, violate, or otherwise conflict with the intellectual property, privacy, publicity, confidentiality, or other rights of any third party.
EasyEcom does not claim ownership of Customer Content. Except as expressly provided in these Terms or required by applicable law, EasyEcom shall not access, use, disclose, or distribute Customer Content for purposes unrelated to the provision and operation of the Services. Customers acknowledge that they are solely responsible for the accuracy, legality, quality, integrity, and reliability of Customer Content submitted through the Platform.
06Data protection and privacy
EasyEcom processes information in accordance with its Privacy Policy and applicable data protection, privacy, and information security laws. Depending on the nature of the Services and the relationship between the parties, EasyEcom may act either as a data processor, service provider, or data controller with respect to certain information processed through the Platform.
Customers remain solely responsible for ensuring that any personal information collected, uploaded, shared, or processed through the Platform, including end-customer data, is obtained and handled lawfully, with all necessary notices, consents, permissions, and legal bases required under applicable law.
Each party agrees to implement and maintain commercially reasonable administrative, technical, organizational, and security measures designed to protect information against unauthorized access, disclosure, misuse, alteration, loss, or destruction. While EasyEcom employs reasonable safeguards to secure the Platform and associated data, no method of electronic transmission, storage, or processing can be guaranteed to be completely secure. Accordingly, EasyEcom does not warrant or guarantee absolute security of information processed through the Platform.
07AI features and generated outputs
Certain features and functionalities of the Platform may utilize artificial intelligence, machine learning, automation, or other algorithmic technologies to generate, organize, personalize, analyze, optimize, or recommend content, workflows, forecasts, allocations, communications, and operational actions.
Outputs generated through AI-enabled systems may vary based on inputs, context, configurations, data quality, and operational conditions. While EasyEcom continuously works to improve the performance, reliability, and accuracy of such systems, AI-generated outputs may contain inaccuracies, incomplete information, unintended results, or content that may not be suitable for specific use cases.
Customers are solely responsible for reviewing, validating, and determining the appropriateness, legality, accuracy, and suitability of any AI-generated or automated output, including demand forecasts, inventory recommendations, and order-routing decisions, before relying on, publishing, distributing, or using such output for business, commercial, legal, regulatory, or customer-facing purposes.
Certain AI-enabled functionalities may rely on third-party models, infrastructure providers, APIs, or technology partners. EasyEcom does not guarantee the uninterrupted availability, compatibility, or performance of such third-party services and shall not be liable for disruptions, inaccuracies, or limitations arising from them.
08Intellectual property rights
EasyEcom and its licensors retain all rights, title, and interest in and to the Platform, including all software, technology, source code, interfaces, designs, workflows, trademarks, logos, branding, documentation, content, proprietary methodologies, and all associated intellectual property and proprietary rights therein. Except for the limited, non-exclusive, revocable right to access and use the Platform in accordance with these Terms, no ownership rights, licenses, or interests in the Platform or EasyEcom's intellectual property are transferred or granted to any user or customer, whether expressly, impliedly, or otherwise.
Users shall not, directly or indirectly:
- copy, reproduce, modify, distribute, license, sell, lease, sublicense, publicly display, or commercially exploit any part of the Platform;
- reverse engineer, decompile, disassemble, attempt to derive source code, underlying ideas, algorithms, or proprietary technology from the Platform except where expressly permitted under applicable law; or
- create derivative works based on the Platform or use the Platform to develop competing products or services.
Any feedback, suggestions, recommendations, enhancement requests, or ideas provided by users relating to the Platform may be used by EasyEcom without restriction or obligation, and EasyEcom shall retain all rights in and to any resulting improvements or developments.
09Third-party services and integrations
The Platform may integrate with, connect to, or rely upon third-party platforms, marketplaces, infrastructure providers, payment processors, shipping and logistics providers, analytics services, communication tools, cloud providers, APIs, software applications, and other external technologies or services.
Use of such third-party services may be subject to separate terms, conditions, privacy policies, and practices established by the respective third-party providers. Customers are responsible for reviewing and complying with any applicable third-party terms governing their use of such services.
EasyEcom does not own, control, or assume responsibility for the availability, accuracy, security, functionality, performance, legality, or practices of third-party services and shall not be liable for any loss, damage, disruption, or issue arising from or related to the use, failure, modification, suspension, or discontinuation of such third-party services or integrations. Customers acknowledge that the functionality and performance of certain Platform features may depend on the continued availability and compatibility of third-party services and integrations.
10Service availability and modifications
EasyEcom continuously develops and evolves the Platform and reserves the right to modify, enhance, update, suspend, restrict, or discontinue any feature, functionality, integration, or service at any time, with or without prior notice, where reasonably necessary.
While EasyEcom endeavors to maintain reliable availability, security, and performance of the Platform, uninterrupted, timely, secure, or error-free operation cannot be guaranteed. Access to the Platform may occasionally be affected by scheduled maintenance, infrastructure upgrades, security measures, technical failures, third-party service disruptions, force majeure events, or other operational factors beyond EasyEcom's reasonable control.
EasyEcom will use commercially reasonable efforts to minimize service disruptions and restore affected services within a reasonable timeframe where practicable.
11Fees, billing, and payments
Where applicable, customers agree to pay all fees, charges, and applicable taxes associated with the Services, subscriptions, plans, integrations, or commercial offerings selected or agreed upon. Billing terms, payment schedules, invoicing arrangements, renewals, usage limits, taxes, refunds, and other commercial terms may be governed by separate agreements, proposals, quotations, order forms, statements of work, or pricing plans entered into between EasyEcom and the customer.
Unless otherwise agreed in writing, all payment obligations are non-cancellable and fees paid are non-refundable. Customers are responsible for ensuring timely payment of all undisputed amounts due under the applicable commercial arrangement.
EasyEcom reserves the right to suspend, restrict, or terminate access to the Platform or Services in the event of delayed, failed, or non-payment of amounts due, without prejudice to any other rights or remedies available under applicable law or contract.
12Suspension and termination
Customers may discontinue use of the Platform at any time, subject to any applicable contractual, subscription, payment, or notice obligations agreed separately between the parties. EasyEcom reserves the right to suspend, restrict, or terminate access to the Platform or Services, in whole or in part, immediately or upon notice, where:
- these Terms or any applicable agreement are violated;
- misuse, fraudulent activity, unauthorized access, security incidents, or unlawful conduct is detected or reasonably suspected;
- such action is required to comply with applicable laws, regulations, court orders, or governmental authority requests; or
- continued access may create operational, legal, reputational, or security risks for EasyEcom, the Platform, other users, or third parties.
EasyEcom may also suspend access for non-payment of applicable fees or where reasonably necessary for maintenance, security protection, infrastructure stability, or risk mitigation purposes.
Termination or suspension of access shall not relieve customers of any obligations, liabilities, payment responsibilities, or commitments accrued prior to the effective date of such suspension or termination. Upon termination, and subject to applicable law and any agreed commercial terms, EasyEcom will make Customer Content available for export or deletion for a reasonable period before it is removed from active systems.
13Confidentiality
Each party may receive, access, or become exposed to confidential, proprietary, technical, commercial, financial, operational, or business information (“Confidential Information”) in connection with the use of the Platform and the provision or receipt of Services.
Each party agrees to protect the other party's Confidential Information using at least reasonable care and to use such information solely for purposes related to the use, operation, support, or provision of the Platform and Services. Confidential Information shall not be disclosed to any third party except to employees, affiliates, contractors, advisors, or service providers who have a legitimate need to know such information and are bound by confidentiality obligations no less protective than those contained herein.
The obligations under this section shall not apply to information that:
- is or becomes publicly available without breach of these Terms;
- was lawfully known to the receiving party without confidentiality obligations prior to disclosure;
- is lawfully obtained from a third party without restriction; or
- is independently developed without use of or reference to the disclosing party's Confidential Information.
A party may disclose Confidential Information where required by applicable law, regulation, court order, or governmental authority, provided that, where legally permissible, reasonable prior notice is given to the disclosing party. The confidentiality obligations under these Terms shall survive suspension, termination, expiration, or discontinuation of the relationship between the parties.
14Disclaimers
The Platform and Services are provided on an “as is,” “as available,” and “as provided” basis, without any guarantees, assurances, or warranties of any kind. While EasyEcom endeavors to provide reliable, secure, and commercially reasonable Services, EasyEcom does not warrant or guarantee uninterrupted availability, continuous operation, complete accuracy, reliability, security, compatibility, or error-free performance of the Platform or any content, outputs, integrations, or functionalities made available through it.
To the maximum extent permitted under applicable law, EasyEcom expressly disclaims all representations, warranties, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability, or results arising from use of the Platform.
EasyEcom does not warrant that the Platform will meet all customer requirements, operate without interruption, be free from vulnerabilities, or prevent all data loss, unauthorized access, or security incidents. Customers acknowledge that use of the Platform is undertaken at their own discretion and risk.
15Limitation of liability
To the fullest extent permitted under applicable law, EasyEcom, its affiliates, licensors, service providers, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, anticipated savings, goodwill, reputation, customers, use, or data, arising out of or relating to the Platform, Services, AI-generated outputs, third-party integrations, or these Terms, whether arising under contract, tort, negligence, strict liability, statute, or otherwise, even if advised of the possibility of such damages.
EasyEcom shall not be liable for any loss or damage arising from service interruptions, downtime, delays, data loss, unauthorized access, security incidents, third-party failures, inaccuracies in generated outputs, or customer reliance on Platform content, functionality, or outputs.
To the maximum extent permitted under applicable law, EasyEcom's aggregate cumulative liability arising out of or relating to these Terms, the Platform, or the Services shall not exceed the total amount actually paid by the customer to EasyEcom for the applicable Services during the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations and exclusions set forth in this section shall apply irrespective of the form or cause of action and shall survive suspension, termination, expiration, or discontinuation of the Services or these Terms.
16Indemnification
Customers agree to indemnify, defend, and hold harmless EasyEcom, its affiliates, licensors, officers, directors, employees, agents, partners, and representatives from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, judgments, costs, and expenses, including reasonable legal and professional fees, arising out of or relating to:
- Customer Content or the use, processing, distribution, or publication thereof;
- misuse of the Platform or Services by the customer or its authorized users;
- violation of these Terms, applicable laws, regulations, or third-party rights; or
- infringement, misappropriation, or alleged violation of any intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any third party.
EasyEcom reserves the right to assume exclusive control of the defense and settlement of any matter subject to indemnification under this section, and customers agree to reasonably cooperate with EasyEcom in connection with such defense or settlement. Customers shall not settle any claim in a manner that imposes liability or obligations on EasyEcom without EasyEcom's prior written consent.
17Governing law and dispute resolution
These Terms, and any dispute, claim, or matter arising out of or relating to the Platform, the Services, or the relationship between the parties, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
The parties shall first seek to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith discussions and mutual negotiation. If the dispute is not resolved within sixty (60) days, it shall be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in force. The seat of arbitration shall be Singapore, the language of the arbitration shall be English, and the tribunal shall consist of a sole arbitrator. The arbitral award shall be final and binding on the parties.
Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its rights pending arbitration.
18General provisions
Force majeure
EasyEcom shall not be liable or responsible for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil unrest, government action or restrictions, changes in law, epidemics or pandemics, labor disputes, power or utility failures, internet or telecommunications disruptions, cyberattacks, or failures of third-party services or infrastructure. The affected party shall use commercially reasonable efforts to resume performance as soon as reasonably practicable.
Assignment
You may not assign, transfer, delegate, or otherwise dispose of these Terms or any of your rights or obligations hereunder, in whole or in part, without the prior written consent of EasyEcom. EasyEcom may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of its assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
Waiver
No failure or delay by EasyEcom in exercising any right, power, or remedy under these Terms shall operate as a waiver of that or any other right, power, or remedy. No waiver shall be effective unless made in writing, and any single or partial exercise of a right shall not preclude any further exercise of that or any other right.
Entire agreement
These Terms, together with the Privacy Policy and any other policies or documents incorporated by reference, and any applicable order form, subscription plan, or separate commercial agreement entered into between the parties, constitute the entire agreement between you and EasyEcom regarding the Platform and Services, and supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral. In the event of a conflict between these Terms and a signed commercial agreement between the parties, the signed commercial agreement shall prevail with respect to the subject matter of the conflict.
Survival
Any provisions of these Terms that by their nature should survive termination or expiration shall survive, including provisions relating to User Content and Customer Data, Intellectual Property Rights, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, these General Provisions, and any accrued payment obligations.
19Changes to the terms
EasyEcom reserves the right to revise, modify, update, or replace these Terms from time to time to reflect changes in the Platform, Services, legal or regulatory requirements, industry practices, operational needs, or business developments. Updated Terms shall become effective from the date specified in the revised version unless otherwise stated.
EasyEcom may provide notice of material changes through the Platform, website, email communication, or other reasonable means where appropriate. Continued access to or use of the Platform after the effective date of the revised Terms shall constitute acknowledgment and acceptance of such updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and Services.
